BYLAWS OF THE MINDSCAPE NEURODIVERSITY INSTITUTE

Article I: Name

The name of the organization shall be The Mindscape Neurodiversity Institute.

Article II: Purpose

Section 1: This organization is organized exclusively for charitable, educational, and scientific purposes under Section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. Specifically, the Institute aims to provide resources, conduct research, and promote education concerning neurodiversity, particularly relating to ADHD and autism.

Section 2: The Institute shall not engage in any activities or exercise any powers that are not in furtherance of the purposes described in Section 501(c)(3) of the Internal Revenue Code.

Section 3: No part of the net earnings of the Institute shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the Institute shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article II hereof.

Article III: Membership

Section 1: Membership shall be open to individuals who support the purpose and objectives of the Institute.

Section 2: Membership Categories and Rights:

General Members: Open to all interested parties, general members have the right to attend open meetings, receive newsletters, and participate in public Institute events.

Voting Members: Must meet specific criteria set by the Board, including a commitment to active participation in Institute activities. Voting members have the right to vote in Institute elections and on major decisions.

Honorary Members: Designated by the Board for individuals who have made significant contributions to the field of neurodiversity. These members have no voting rights but are recognized for their contributions.

Section 3: Membership Dues: Membership dues shall be set annually by the Board. Waivers or reductions may be granted in specific cases.

Article IV: Board of Directors

Section 1: The Board of Directors shall manage the affairs of the Institute.

Section 2: The Board shall consist of five members, including a President, Secretary, and Treasurer.

Section 3: Board Selection and Terms:

Members are elected by a majority vote of the voting members and serve a term of three years.

Board meetings are held quarterly or as needed.

The President chairs the Board meetings. In the President’s absence, the Secretary or another designated Board member shall chair.

Article IX: Amendments

Section 1: These bylaws may be amended by a two-thirds majority vote of the Board of Directors.

Section 2: Proposal of Amendments:

Amendments can be proposed by any Board member.

Notice of proposed amendments must be given at least 30 days before the Board meeting at which the amendment is to be voted upon.

Article XI: Conflict of Interest Policy

Section 1: A conflict-of-interest policy shall be in place to manage any potential conflicts of interest involving members of the Board and officers. This includes mandatory disclosure of any conflicts and recusal from voting on matters where a conflict exists.

Article XII: Non-Discrimination

Section 1: The Mindscape Neurodiversity Institute shall not discriminate on the basis of race, color, religion, gender, gender expression, age, national origin, disability, marital status, sexual orientation, or military status, in any of its activities or operations.

Article XIII: Dissolution

Section 1: Upon the dissolution of the Institute, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.

Section 2: Any such assets not disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the Institute is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
